Terms of Service

These Terms of Service govern the use of the Nexly platform. Please read them carefully — by registering an account you accept them as binding.

§1 Scope

Welcome to Nexly.

These Terms of Service govern the use of the Nexly platform and all related services, including the website, the mobile applications, and any future extensions.

By registering or otherwise using Nexly, you agree to be bound by these Terms. If you do not agree with them, you may not use Nexly.

§2 Purpose of the Platform

Nexly is a social platform for organising and taking part in leisure, sports and community activities. The platform enables in particular:

  • creating activities
  • joining activities
  • public and private groups
  • private messages
  • community features
  • friendships and followers
  • notifications
  • location-based activities
  • profile management

Nexly exists solely to connect people with each other. Nexly does not organise events itself and never acts as an event organiser.

§3 Minimum Age

Use of Nexly is limited to persons who are at least 16 years old. By registering, each user confirms that:

  • the age they have provided is truthful,
  • using the service is permitted under the laws that apply to them,
  • all information provided is accurate.

If Nexly determines that false age information has been provided, the account may be suspended or deleted at any time without prior notice.

§4 Registration

Certain features require a user account. Registration is possible via:

  • email address
  • Google Sign-In
  • any additional sign-in methods supported in the future

The user undertakes to:

  • provide only truthful information,
  • not impersonate any other person,
  • not create fake profiles,
  • not provide misleading information.

There is no entitlement to registration. Nexly reserves the right to reject registrations without giving reasons.

§5 User Account

Each user may generally hold only one personal user account. Creating multiple accounts to circumvent bans or community rules is prohibited.

The user must:

  • keep their password safe,
  • not disclose their access credentials,
  • report unauthorised access without delay.

The user is initially responsible for all activity carried out through their own user account.

§6 Accurate Information

Users undertake to:

  • use accurate names or permitted pseudonyms,
  • not misrepresent their identity,
  • not use pictures belonging to others as their profile picture,
  • not impersonate official organisations or companies.

Nexly may request evidence at any time where misuse is suspected.

However, Nexly does not guarantee the identity of other users. Even where a profile appears authentic, Nexly cannot warrant that all information provided by a user is correct.

§7 Use of the Platform

Users may use Nexly only within the limits of applicable law. The following, in particular, is prohibited:

  • hate speech
  • discrimination
  • threats
  • insults
  • bullying
  • sexual harassment
  • glorification of violence
  • extremist content
  • terrorist propaganda
  • spam
  • advertising without permission
  • phishing
  • fraud
  • identity theft
  • manipulation of the platform
  • automated bots
  • scraping
  • hacking
  • malware
  • publishing personal data of other people without their consent.

Automated extraction of content (scraping) and the use of bots to collect data are expressly prohibited. This rule protects the platform from unauthorised data collection and abuse.

§8 Activities and Events

Nexly enables users to create and take part in public or private activities.

Nexly acts solely as a technical platform that intermediates between users and does not assume the role of event organiser.

The user who creates an activity is solely responsible for its content, organisation and execution.

8.1 Creating activities

Any registered user may create activities, provided that their account has not been restricted. When creating an activity, the user undertakes in particular to:

  • provide only truthful information
  • not provide misleading information
  • not offer unlawful activities
  • not endanger other participants
  • comply with all applicable laws

8.2 Public and private activities

Nexly supports both public and private activities. For private activities, the creator alone decides which users may participate. There is no entitlement to participate.

8.3 Participant responsibility

Every participant acts on their own responsibility. In particular, each user is responsible for:

  • travel to and from the activity
  • their own safety
  • their own health
  • their own equipment
  • their own insurance
  • compliance with legal requirements

Nexly assumes no responsibility for these matters.

8.4 Cancellations and changes

Creators may modify or cancel their activities at any time. Nexly assumes no liability for:

  • cancelled activities
  • changes of date
  • expenses incurred
  • travel costs
  • any other damages

8.5 Prohibited activities

In particular, no activities may be organised through Nexly that:

  • violate applicable law
  • promote violence
  • are discriminatory
  • spread extremist content
  • focus on weapons or dangerous items
  • concern illegal drugs
  • involve gambling without a legal basis
  • endanger people

Nexly may remove such activities at any time.

§9 In-Person Meetings

Nexly brings people together. In-person meetings take place exclusively at the participants' own risk. Nexly does not organise or supervise any meetings.

We recommend that all users:

  • meet in public places first
  • let family or friends know about the meeting
  • share personal data only with due care
  • report suspicious behaviour immediately
  • always put their own safety first

Nexly assumes no responsibility for the behaviour of individual users outside the platform.

§10 Chats and Communication

Nexly provides communication features, including in particular:

  • direct messages
  • group communication
  • activity chats
  • any future communication features

All users undertake to interact respectfully. In particular, the following are prohibited:

  • insults
  • threats
  • harassment
  • sexual content without consent
  • spam
  • chain messages
  • advertising
  • fraudulent messages
  • malware
  • phishing
  • links to harmful websites

Nexly reserves the right to remove content in the event of violations and to restrict or suspend accounts.

§11 Conduct within the Community

Our community relies on respect, openness and mutual support. Each user undertakes to:

  • treat other people respectfully regardless of origin, religion, gender, sexual orientation or belief
  • resolve conflicts peacefully
  • not spread hate speech or discrimination
  • not intimidate or threaten other users

Nexly tolerates no form of bullying, harassment or targeted exclusion. Violations may lead to a permanent ban of the user account.

§12 Profiles, Content and User Accounts

Each user is responsible for all content that is published, uploaded or shared through their user account, in particular:

  • profile information
  • profile pictures
  • descriptions
  • activities
  • comments
  • chat messages
  • images
  • any future content and features

The user undertakes to publish only content that is lawful and does not infringe any third-party rights.

Nexly reserves the right to review, hide or remove content where a violation of these Terms or of applicable law exists.

§13 Profile Pictures and Uploaded Images

Users may upload only images:

  • to which they hold all required rights themselves,
  • or for which they have received express permission to use.

By uploading, the user expressly confirms that:

  • no copyrights are infringed
  • no trademark rights are infringed
  • no personality rights are infringed
  • all persons depicted have consented to publication, where legally required

Nexly assumes no responsibility for unlawfully uploaded content. Should Nexly become aware of a rights infringement, the content concerned will be reviewed as quickly as possible and removed where appropriate.

§14 Rights of Use in Uploaded Content

The user remains the owner of all content they upload.

By uploading, however, the user grants Nexly a simple, non-exclusive, worldwide right of use, limited to the duration of publication and to what is technically necessary in order to:

  • display content within the platform
  • present activities
  • display profile pictures
  • transmit content to other authorised users
  • create backup copies
  • technically process content

This right of use generally ends when the relevant content or user account is deleted, unless statutory retention obligations apply.

§15 Prohibited Content

The following content, in particular, may not be published or shared through Nexly:

  • copyright-infringing content
  • stolen images
  • pornographic content
  • depictions of sexual exploitation
  • depictions of violence
  • extremist content
  • terrorist content
  • discriminatory content
  • racist content
  • content inciting hatred
  • criminal content
  • calls to commit crimes
  • offers of illegal drugs
  • weapon trading
  • attempted fraud
  • phishing
  • malware
  • spam
  • chain messages
  • misleading advertising
  • content that endangers the safety of other users

Nexly may remove such content at any time without prior notice.

§16 Reporting Content and Users

Users can report content or other users using the reporting features provided. Reports are reviewed to the best of our knowledge. Nexly decides on appropriate measures at its dutiful discretion.

Depending on the severity of the violation, the following measures in particular may be taken:

  • notice to the user
  • removal of individual content
  • restriction of certain features
  • temporary suspension
  • permanent suspension
  • deletion of the user account
  • disclosure of legally required information to the competent authorities where such an obligation exists

Abusive or intentionally false reports may themselves constitute a violation of these Terms.

§17 Blocking Other Users

Every user has the right to block other users through the block feature.

After a block, the following restrictions may apply, depending on the current scope of platform features:

  • no direct messages
  • profile is hidden
  • no participation in private activities of the blocking user
  • further technical restrictions to protect privacy

Nexly reserves the right to extend the scope of these protective measures in future updates.

§18 Platform Moderation

In order to maintain a safe and respectful community, Nexly is entitled to moderate content and user accounts within the framework of these Terms.

Moderation measures may in particular be taken for:

  • violations of these Terms
  • endangerment of other users
  • unlawful content
  • repeated misconduct
  • circumvention of existing bans
  • abuse of the platform

Moderation decisions take into account the circumstances of the individual case.

§19 Liability

Nexly provides only a digital platform through which users can create, organise and take part in activities.

Nexly is neither an event organiser nor an intermediary in a legal sense and assumes no responsibility for the execution or the course of activities. Every user acts on their own responsibility.

Nexly assumes no liability, in particular, for:

  • cancelled or rescheduled activities
  • disputes between users
  • damage to property
  • injuries
  • accidents
  • financial losses
  • lost profits
  • travel expenses
  • the conduct of other users
  • user-generated content

Use of the platform is at the user's own risk.

§20 Liability for In-Person Meetings

Nexly only enables contact between users. Meetings outside the platform take place solely on the users' own responsibility.

Nexly:

  • does not organise meetings
  • does not carry out full verification of participants
  • does not supervise meetings
  • assumes no responsibility for the conduct of other users

Every user decides for themselves whether and with whom they arrange in-person meetings.

We expressly recommend:

  • meetings in public places
  • sharing personal information with care
  • always keeping your own safety in mind

§21 Technical Availability

Nexly aims to make the platform available with as little interruption as possible. There is, however, no entitlement to fault-free or uninterrupted availability at all times.

Maintenance work, security updates, technical faults or force majeure may cause temporary limitations. Nexly assumes no liability for such limitations to the extent legally permitted.

§22 Data Protection

The protection of personal data is of high importance to Nexly.

Details of the processing of personal data are set out in the separate Privacy Policy. That Privacy Policy is an integral part of the use of the platform.

§23 Amendments to these Terms

Nexly reserves the right to adjust these Terms where this is necessary as a result of:

  • changes in the law
  • technical developments
  • new features
  • security requirements
  • organisational changes

Registered users will be informed of material changes within the platform or by email. Where legally required, renewed consent will be obtained.

§24 Suspension and Termination

Users may delete their user account at any time from within the app or request deletion via support.

Nexly is entitled to suspend user accounts temporarily or permanently in particular where:

  • these Terms are violated
  • unlawful content is published
  • other users are endangered
  • criminal acts occur
  • technical attacks are made on the platform
  • multiple accounts are used to circumvent bans

Suspension takes into account the severity of the respective violation.

In cases of serious violations — such as harassment, threats of violence, sexual assault or fraud — Nexly reserves the right to suspend the account immediately and permanently without prior warning.

§25 Intellectual Property

All rights in the Nexly platform, including:

  • software
  • design
  • logos
  • trademarks
  • texts
  • graphics
  • user interfaces

belong — unless stated otherwise — to the operator or the respective rights holders.

Any reproduction, distribution or other use outside the limits permitted by law requires prior written consent.

§26 Applicable Law

The laws of the Federal Republic of Germany apply exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods, to the extent legally permitted.

Mandatory consumer protection rules of the country in which a user has their habitual residence remain unaffected.

§27 Severability

Should individual provisions of these Terms be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.

The invalid provision shall be replaced by the applicable statutory rule.

By registering or using Nexly, the user confirms that they have read, understood and accepted these Terms.
